Job Description

Overseas Pakistanis’ Foundation (OPF) is inviting applications for the position of Company Secretary. The role requires a highly experienced professional responsible for corporate governance, statutory compliance, board coordination, and ensuring adherence to legal and regulatory frameworks. The selected candidate will play a key role in maintaining governance standards and supporting board operations.

Key Responsibilities

  • Ensure compliance with regulatory and statutory requirements, including the Companies Act 2017 and SOE Governance frameworks.
  • Organize and manage Board of Governors (BoG) meetings and committee meetings, including agendas, minutes, and follow-up actions.
  • Serve as the communication bridge between the Board of Governors, management, and stakeholders.
  • Maintain statutory records, legal filings, and corporate documentation as required under applicable laws.
  • Provide legal and administrative support related to corporate governance matters.
  • Ensure timely and accurate submission of corporate information to relevant authorities.
  • Advise the Board on legal, regulatory, and governance matters concerning OPF operations.
  • Ensure board procedures are implemented according to applicable regulations and governance best practices.

Required Qualification

Candidates must meet one of the following educational criteria:

  • Member of a recognized body of professional accountants; OR
  • Member of a recognized body of corporate or chartered secretaries; OR
  • Master’s degree in Business Administration, Finance, Commerce, Law, or equivalent qualification from an HEC-recognized university.

Experience Requirements

  • Minimum 10 years of relevant post-qualification experience.
  • At least 5 years of experience as a Company Secretary.
  • Strong background in:
    • Corporate Governance
    • SOE Governance Frameworks
    • Regulatory Compliance
    • Company Secretarial Practices

Age Requirement

  • Maximum age limit: 50 years (as of the closing date of applications).
